These terms are the agreement between you and Momentum Minds LLC for using Focusbox — our website, your Focusbox account and cloud-sync service, and any optional paid subscription. Please read them; by using these services you agree to them.

Note on the open-source app: the Focusbox desktop application's source code is released separately under the MIT License. That license governs your rights to the code itself. These Terms govern your use of our hosted services — the website, accounts, cloud sync, and subscriptions.

1Acceptance of these terms

By accessing our website, creating a Focusbox account, enabling cloud sync, or subscribing to a paid plan, you agree to be bound by these Terms of Service and by our Privacy Policy. If you do not agree, please do not use these services. You may, of course, still download and use the open-source app under its own license.

2About Focusbox

Focusbox is a minimal focus app — a countdown timer, a task list, and a notes page. It is operated by Momentum Minds LLC, a limited liability company organized in New Mexico, USA ("Focusbox", "we", "us", or "our"). The desktop app works locally and offline. We also offer an optional account with cloud sync, and an optional paid subscription, both described below.

3Eligibility

You must be at least 13 years old to use Focusbox. To create a paid subscription, you must be at least 18 years old (or the age of majority in your jurisdiction) and able to enter into a binding contract. By using the services you represent that you meet these requirements.

4Accounts

You do not need an account to use the Focusbox app. If you create one to use cloud sync:

  • You agree to provide accurate information and to keep your email address current.
  • You are responsible for keeping your password secure and for all activity that occurs under your account.
  • You must notify us promptly at [email protected] if you suspect unauthorized use of your account.
  • You may delete your account at any time.

5Subscriptions and payment

Focusbox is free to use. We may offer an optional paid subscription that unlocks additional features (such as cloud sync). If you subscribe:

  • Billing. Payments are processed by Stripe. By subscribing, you authorize us, through Stripe, to charge your payment method for the applicable fees.
  • Renewal. Subscriptions renew automatically at the end of each billing period (for example, monthly or annually) at the then-current price, unless you cancel before the renewal date.
  • Cancellation. You can cancel at any time. Your subscription remains active until the end of the current paid period, after which it will not renew.
  • Refunds. Except where required by law, payments are non-refundable and there are no refunds or credits for partial periods.
  • Price changes. We may change subscription prices. We'll give you advance notice, and any change takes effect at your next renewal.
  • Taxes. Stated prices may not include taxes; you are responsible for any applicable taxes.

6Your content

Your tasks, notes, and timer settings are yours. You retain all rights to the content you create in Focusbox. When you enable cloud sync, you grant us a limited license to store, copy, and transmit that content solely for the purpose of operating the sync service and providing it back to you across your devices. We do not use your content for advertising and we do not sell it.

You are responsible for your content and for ensuring you have the right to store it. We recommend keeping your own backups of anything important.

7Acceptable use

When using our services, you agree not to:

  • Use the services for any unlawful purpose or in violation of any applicable law.
  • Attempt to gain unauthorized access to our systems, other users' accounts, or our service providers' systems.
  • Interfere with, disrupt, or place an unreasonable load on the services or infrastructure.
  • Reverse engineer or circumvent the hosted services (this does not limit your rights to the open-source app code under its license).
  • Use the services to store or transmit malicious code, or content that is illegal or infringes others' rights.

8Intellectual property

The "Focusbox" and "Momentum Minds" names, logos, and branding, along with the content and design of our website, are owned by Momentum Minds LLC and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks without our prior written permission. The desktop app's source code remains available under its MIT License.

9Third-party services

We rely on third-party providers — including Stripe for payments and cloud-hosting, analytics, and email providers — to operate the services. Your use of features powered by these providers may also be subject to their terms and policies. We are not responsible for the acts or omissions of third-party providers.

10Disclaimers

The services are provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the services will be uninterrupted, error-free, or that data will never be lost. You use the services at your own risk.

11Limitation of liability

To the maximum extent permitted by law, Momentum Minds LLC and its owners and contributors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising from or related to your use of the services. Our total liability for any claim relating to the services will not exceed the greater of (a) the amount you paid us in the twelve months before the claim, or (b) USD 50.

12Indemnification

You agree to indemnify and hold harmless Momentum Minds LLC from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the services, your content, or your violation of these Terms or applicable law.

13Termination

You may stop using the services and delete your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the services. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — will survive.

14Governing law and disputes

These Terms are governed by the laws of the State of New Mexico, USA, without regard to its conflict-of-law rules. You agree that the state and federal courts located in New Mexico will have exclusive jurisdiction over any dispute arising from these Terms or the services, except where applicable consumer-protection law gives you the right to bring proceedings in your home jurisdiction.

15Changes to the services and terms

We may modify or discontinue the services at any time. We may also update these Terms from time to time; when we do, we'll revise the "Last updated" date and, for significant changes, provide a more prominent notice. Your continued use of the services after an update means you accept the revised Terms.
